SAGAT Group

SAGAT S.p.A. manages the entire airport area and is primarily responsible for:
- the planning, construction and maintenance of infrastructures related to air traffic (e.g.: runway and apron);
- the planning, construction and maintenance of the infrastructures and buildings used by passengers and operators (air terminals with relative commercial areas, car parks, offices and installations);
- the management of centralised infrastructures as defined by Law by Decree 18/99 (including loading bridges, baggage handling systems, airport IT and passenger information systems);
- the activities carried out in the airport area, which are entrusted to other economic entities (including those who run restaurants, bars, shops, car rental companies, etc.).
The Group includes the companies SAGAT S.p.A., SAGAT Handling S.p.A., SAGAT Engineering S.r.l. , Sistema S.r.l. and Aeroporti Holding S.r.l.
In 2010, the SAGAT Group registered a production value of over 66 million euros and a net profit of 4.5 million euros: the staff consists of approximately 400 employees.
In 2011 Turin Airport registered more than 3.7 million passengers (+4.2% vs 2010).
Since 2001, following the above-mentioned Law by Decree 18/99, handling services (i.e. land assistance for passengers, freight and aircrafts) are no longer directly carried out by airport managing companies, due to market liberalization. On October 1st, 2001 SAGAT Handling S.p.A., a 100% SAGAT-controlled company was founded to manage ground handling services.SAGAT Handling is a certified company for ISO 9001 quality management system.
SAGAT Engineering S.r.l., completely owned by SAGAT, was formed on March 14th, 2003. This company manages the execution of feasibility studies, researches, consulting and design activities, work management, tests, yard emergency implementations, evaluations of technical and economic convenience, and also technical and administrative activities for the development of entrusting procedures and the implementation of tasks and pieces of work directly or indirectly connected to the airport activities.
In December 2000 SAGAT was privatised.
The group formed by Holding Edition S.p.A., IMI Investimenti S.p.A., Aeroporto "G. Marconi" di Bologna S.p.A. and Aviapartner S.p.A. acquired 41.33% of the parcel of shares, sold by the Municipality of Turin, the Province of Turin, the Piedmont Region and the Turin Chamber of Commerce.
By the completion of the partial privatisation process, SAGAT opened the phase of collaboration between the old shareholders, as reference partners for the regional development and promoters of the tourist and economic activities, and the new shareholders, who are in charge of the direct management of the Company.
The new shareholders, thanks to their know how in the aeronautical and other fields, are putting into effect the development plan, which has been thought out in the awareness that Turin Airport represents a strategic pole for economy, not only from a local point of view, but also regional and national.

Aeroporti Holding

The creation of Aeroporti Holding is the answer to the changing scenery in air transportation. Because of the continuing crisis, it has persuaded many carriers to reduce costs, thus causing the reduction of income for the airport management companies.
With this union, the regional airports will attain the synergies that will contribute to avoid the risk of isolation of the airline companies that, because of the crisis, have the tendency to only operate on the major airports instead of the regional ones.
The network has proposed to valorise the potential of the regional airports through the following four points:
- to make the airport more competitive towards the carriers to develop a wider network of connecting destinations;
- to establish a critical mass in order to create value for the management companies, through the research by seeking synergies and integration areas, to carry out the investments able to create the necessary airport capacity to receive the foreseen transport demand, leaving at public disposal quality airport facilities;
- to diversify the activities and the income sources, that in regional airports are too concentrated on the rights and the assistance provided to carriers, which today pay 80% of the total costs of a regional airport;
- to develop the human resources that are present in every single airport, recognizing their uniqueness and their different possibilities.
The Aeroporti Holding's shareholders are SAGAT S.p.A. (55.45%), Equiter S.p.A. (35.31%) and Tecnoinvestimenti S.r.l. (9.24%). The AH Board of Directors’ members are: Maurizio Montagnese, chairman of SAGAT S.p.A., Enrico Bertoni, Stefano Cao, Biagio Marinò, Armando Brunini, Aldo Napoli, Paolo Vernero, Paolo Roverato, managing director of AH, and Mario Rossi appointed chairman of Aeroporti Holding.
The first action taken by the new company was the acquisition of 29% of Florence Airport’s (ADF) shares, then increased to 29.9%. The company was put on sale at a public auction by the City of Florence, the City of Prato, the Chamber of Commerce of Florence and the Chamber of Commerce of Prato. On August 1, 2003 the auction was won by the group of bodies which came to form the Aeroporti Holding S.r.l.
During 2006, Aeroporti Holding first of all won the tender for acquisition of 5%, then increased to 7.21%, of the share capital of the “Guglielmo Marconi” Airport of Bologna and then purchased a 1.13% stake in the share capital of Aeroporto di Firenze S.p.A. from the City of Prato, bringing its interest in AdF to 32%.
As a result, the conditions have been established for application of the legal and regulatory provisions of the compulsory public tender offer for the totality of the shares as set forth in article 106 of Decree Law No. 58 of February 24 1998, as amended and integrated.
Aeroporti Holding then increased to 33.40% its interest in ADF - Florence Airport.
